Who we are
PT Corporate Services Sdn Bhd is a corporate secretarial firm based in Kota Damansara. Our work is the statutory side of running a Malaysian private company: incorporating new companies with the Companies Commission of Malaysia (SSM), acting as the named company secretary, providing a registered office, keeping statutory registers current, preparing directors’ and members’ resolutions, and lodging annual returns and other filings on time. The idea behind the practice is short enough to fit on a business card: compliance, handled. A company’s statutory obligations do not need to be mysterious, and they should never be the reason a director loses sleep. Our job is to keep the company’s file in order, explain what each requirement means in plain English, and raise deadlines before they become problems.
What a company secretary is — and why the appointment matters
Under the Companies Act 2016, every company incorporated in Malaysia must have at least one company secretary. The secretary must be a natural person, aged eighteen or above, who ordinarily resides in Malaysia, and must hold the qualifications the Act prescribes. The board must appoint a secretary within thirty days of incorporation, and the office cannot be left vacant for more than thirty days at any time.
The role is more than a name on a form. In practice, the company secretary maintains the statutory registers, prepares and records resolutions, lodges the annual return, notifies SSM when directors, shareholders or the registered address change, and advises the board on its duties under the Act. When the appointment is treated as a formality, deadlines slip — and the gaps tend to surface at the worst possible moment: a bank facility application, a due diligence exercise, a shareholder dispute.
